Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and MyCrewTracker, Inc. ("MyCrewTracker", "we", "us"). By accessing or using mycrewtracker.com or app.mycrewtracker.com (the "Service"), you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

MyCrewTracker is a cloud-based project management platform designed for small US contractors. The Service includes:

• Project and crew management tools
• Digital change orders with e-signature capability
• Daily log and automated client reporting
• Subcontractor compliance tracking (W-9s, lien releases)
• Invoice and estimate management
• Timesheet and GPS time-tracking
• AI-assisted report generation
• Client portal access

We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice.

3. Accounts & Registration

• You must be at least 18 years old to create an account.
• You must provide accurate, current, and complete registration information.
• You are responsible for maintaining the confidentiality of your password and all activity under your account.
• You must notify us immediately at support@mycrewtracker.com if you suspect unauthorized access.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription & Billing

4.1 Plans

MyCrewTracker offers the following subscription plans:

4.2 Payment

• All prices are in USD. Payments are processed by Razorpay.
• Subscriptions renew automatically at the end of each billing period unless cancelled.
• You authorize us to charge your payment method on file for renewals.
• Failed payments may result in service suspension after a 3-day grace period.

4.3 Refunds

Payments are non-refundable except where required by applicable law. If you cancel mid-cycle, you retain access until the end of the paid period. We may issue refunds at our sole discretion in exceptional circumstances.

4.4 Price Changes

We will notify you at least 30 days before any price increase takes effect. Continued use after the effective date constitutes acceptance of the new pricing.

5. Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using the Service. Data from free trials is retained for 30 days after expiry before deletion.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Scrape, crawl, or systematically extract data from the Service
• Resell, sublicense, or commercially exploit the Service without written permission
• Use the Service to harass, threaten, or harm any person
• Impersonate another user or entity
• Interfere with or disrupt the integrity or performance of the Service

Violations may result in immediate account termination without refund.

7. Intellectual Property

Our IP: MyCrewTracker and its licensors own all rights to the Service, including software, design, trademarks, logos, and content we create. These Terms do not grant you any right to use our branding without express written consent.

Your License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription.

Feedback: If you provide us with feedback or suggestions, you grant us a royalty-free, irrevocable license to use them without obligation to you.

8. Your Data

You retain all ownership rights to the data you input into the Service ("User Data"). You grant MyCrewTracker a limited license to process User Data solely to provide and improve the Service.

We will not sell, rent, or share your User Data with third parties except as described in our Privacy Policy. You are responsible for the accuracy and legality of data you upload, including ensuring you have the right to share subcontractor personal information.

You may export your data at any time from within the application. Upon account termination, we will provide a 30-day window to export your data before deletion.

9. Third-Party Services

The Service integrates with third-party providers (Razorpay, Amazon SES, DeepSeek AI, etc.). Your use of those integrations is subject to those providers' terms and privacy policies. We are not responsible for the practices of third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) any errors will be corrected; (c) the Service is free of viruses or other harmful components; or (d) results obtained through the Service will be accurate or reliable.

Legal Compliance Disclaimer: MyCrewTracker provides tools to help manage lien releases, W-9s, and compliance documents. This does not constitute legal advice. You are responsible for ensuring your use of the Service complies with applicable federal and state laws. Consult a licensed attorney for legal guidance.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYCREWTRACKER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless MyCrewTracker and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your User Data; or (d) your violation of any rights of a third party.

13. Termination

By you: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.

By us: We may suspend or terminate your account immediately, without prior notice, if you violate these Terms or if we determine your use poses a risk to other users or the Service. In such cases, no refund will be issued.

Upon termination, your right to access the Service ceases. Sections 7, 10, 11, 12, and 14 survive termination.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions.

14.2 Informal Resolution

Before filing a formal claim, you agree to contact us at legal@mycrewtracker.com and attempt to resolve the dispute informally for at least 30 days.

14.3 Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted in English. The arbitrator's award is final and binding.

14.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
